- JAB Acquisition Corp I is a Cayman Islands-incorporated special purpose acquisition company (SPAC) formed on March 10, 2026, to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more operating businesses. The Company focuses its search on high-potential U.S.-based businesses, although it is not restricted to a particular industry or geographic region. It does not manufacture products or provide operating services prior to completing an initial business combination; its principal activities comprise identifying, evaluating, negotiating, financing and consummating a qualifying acquisition or merger. Its securities offerings include Class A ordinary shares; units, each comprising one Class A ordinary share, one redeemable warrant and one right to receive one-fourth of a Class A ordinary share upon completion of an initial business combination; redeemable public and private-placement warrants exercisable for Class A ordinary shares at $11.50 per share; and rights convertible into Class A ordinary shares upon the completion of a business combination. The Company completed its initial public offering in June 2026, raising gross proceeds of $172.5 million through the sale of 17.25 million units, alongside a $2.6 million private placement of 260,000 units to its sponsor, JAB Acquisition Sponsor I, LLC. Substantially all offering proceeds are held in a trust account for use in a business combination or the redemption of public shares, and the Company must complete an initial business combination within 12 months of the IPO closing, subject to up to two three-month extensions upon additional trust deposits. JAB Acquisition Corp I is headquartered at 270 Sylvan Avenue, Suite 2230, Englewood Cliffs, New Jersey, and is classified as an emerging growth company and shell company. In August 2026, the Company entered into a trademark settlement agreement and, effective August 31, 2026, changed its Nasdaq trading symbols to ATLQ for Class A ordinary shares, ATLQU for units, ATLQW for warrants and ATLQR for rights; the symbols replaced JAB, JABRU, JABRW and JABRR, respectively, without changing the securities’ CUSIP numbers, shareholder ownership percentages or capital structure. The Company also intends to change its corporate name to Atlantic Acquisition Corp I, subject to board and shareholder approval.
