Corgi U.S. Equities 10% Structured Buffer ETF – August Series is an actively managed, U.S.-listed structured-outcome exchange-traded fund that seeks to provide returns generally corresponding to the price return, excluding dividends, of the SPDR S&P 500 ETF Trust, subject to a preset upside cap and a limited downside buffer. The Fund’s principal products and services consist of a single annual August-series investment strategy; exposure to the S&P 500 through SPDR S&P 500 ETF Trust-linked exchange-traded FLEX Options; a 10.00% buffer designed to absorb the first 10.00% of reference-asset losses before fees and expenses; capped participation in reference-asset gains; annual outcome-period resets; and daily ETF liquidity through exchange-traded shares. For the outcome period from August 1, 2026 through July 31, 2027, the Fund seeks SPY price-return participation up to an 18.00% cap, before fees and expenses, while using purchased and written FLEX calls and puts, U.S. Treasury-related cash equivalents and other cash positions to construct its defined-outcome profile. The Fund does not hold individual common stocks directly and targets investors seeking U.S. large-cap equity exposure with pre-established downside protection and limited upside potential over a full annual outcome period. The Fund commenced operations in August 2026 and is part of the Corgi structured buffer ETF suite, which includes August-series products linked to U.S. equities, growth and technology equities, international developed equities, emerging-market equities and U.S. small-cap equities with varying buffer levels. Recent major developments include the Fund’s August 2026 launch, establishment of its initial August 2026–July 2027 outcome period and deployment of its initial SPY-linked FLEX Options portfolio; the Fund’s adviser, Corgi Strategies, LLC, has also contractually agreed to waive a portion of its management fee, resulting in a stated net expense ratio of 0.30%, compared with a 0.40% gross expense ratio.
