(BMAQU) operates as a blank check company or special purpose acquisition company (SPAC) with no significant current operations other than seeking and completing an initial business combination through merger, share exchange, asset acquisition, share purchase, reorganization, or similar transaction; the company targets high-growth businesses focused on blockchain technology in finance, supply chain, gaming, entertainment, and related sectors across North America, Europe, and Asia, with units comprising one Class A ordinary share, one-half redeemable warrant exercisable at $11.50 per share, and one-tenth right convertible to one share upon consummation of a business combination. Incorporated in Delaware in January 2021 and headquartered in Jacksonville, Florida, Blockchain Moon Acquisition Corp. launched its initial public offering in October 2021 raising approximately $115 million including over-allotment, announced a non-binding business combination agreement in October 2022 to acquire substantially all assets of DLTx ASA including Web3 infrastructure such as decentralized file storage subsidiaries, which was expected to close by summer 2023 subject to shareholder approvals and regulatory conditions; however, unable to complete the transaction or identify another suitable target within its charter timeframe, the company announced its voluntary liquidation and dissolution on April 21, 2023, redeeming all public shares at approximately $10.49 per share while ceasing trading of its units, warrants, and rights, and subsequently filed a Form 15 with the SEC in May 2023 to terminate registration under Section 12(g) of the Exchange Act.
