Capital Engineering Network Public Company Limited (CEN) is a Thailand-based holding company engaged in investments across engineering materials, construction, energy, digital assets, and aesthetic medical services; it operates primarily through seven subsidiaries and one associated company, including Rayong Wire Industries Public Company Limited (52.30% stake, producer and distributor of prestressed concrete wires or PC-wire, PC-strand, welding wires, hard drawn wires, ordinary low carbon steel wires, and wire mesh), Sky Tower Public Company Limited (38.39% stake, manufacturer and distributor of high-voltage transmission towers up to 500 kV, substation steel structures, telecommunication towers, general fabrication steel structures, and provider of hot-dip galvanizing services, industrial product distribution under brands like RENOLD and ARNOLD, telecom tower leasing in the Philippines via Sky Towers Infra Inc., and telecom implementation services via QROI Network Service Inc.), Enesol Company Limited (100% stake, producer and distributor of electricity and thermal energy primarily to SCG Ceramics Public Company Limited), WJC Enterprise Company Limited (94.25% stake, provider of steel construction, design, and metal forming services for petrochemical, energy, and construction industries), Medisphere Company Limited (69% stake, operator of specialty hospitals, aesthetic medical clinics, and medical clinics offering comprehensive cosmetic surgery, facial and skin care, body shaping, and general surgery services), Evergreen Biomass Company Limited (100% stake, producer and distributor of raw materials for biomass energy), and Capital Digital Network Company Limited (100% stake, investor in digital businesses, digital assets, digital currencies, and digital tokens); its associated company is Prospera Alliance Ltd. (50% stake, focused on semiconductor investments). The company, founded in 1988 and headquartered at 1011 Supalai Grand Tower, 17th Floor, Rama 3 Road, Bangkok, Thailand, primarily serves domestic customers in Thailand such as Electricity Generating Authority of Thailand, Provincial Electricity Authority, concrete manufacturers, construction contractors, and industrial sectors, with international exposure in the Philippines for telecom infrastructure and abroad for steel fabrication. Recent developments include the establishment of Capital Digital Network in January 2022 for digital investments; the formation of Prospera Alliance Pte. Ltd. in April 2023 as a joint venture and acquisition of 19.89% stake in ASTI Holdings Limited for semiconductor exposure via private placement of up to 80 million shares; the name change and business pivot of Pipeline Engineering (now Medisphere) in November 2023 to aesthetic medical services; issuance and ongoing exercises of warrants CEN-W5 since 2021 (372.3 million units, exercisable until May 2026); capital increases and warrant issuances at subsidiaries like Rayong Wire Industries (RWI-W3 in 2022) and Sky Tower (rights offering and STOWER-W4 in 2022, par value change in 2023); a share repurchase program completed in July 2022 (21.3 million shares for 68.8 million baht); and renewals of Thai Private Sector Anti-Corruption Coalition (CAC) membership in 2022 and 2023, alongside strategic cooperation MoU in the Philippines for broadband expansion.
