Innovator ETFs Trust - Innovator Equity Dual Directional 10 Buffer ETF - April is a U.S.-listed, non-diversified series of Innovator ETFs Trust that seeks capital appreciation through a defined-outcome options strategy linked to the price performance of the SPDR S&P 500 ETF Trust. The Fund invests, under normal circumstances, at least 80% of net assets, plus borrowings for investment purposes, in investments providing exposure to the underlying ETF; it uses FLEX Options and other option positions to provide participation in positive underlying-ETF returns up to a predetermined upside cap, positive returns equal to the absolute value of underlying-ETF declines that are within a specified inverse-performance threshold, and a 10% buffer against losses exceeding that threshold, before management fees and expenses. The Fund’s April series operates over an annual outcome period from April 1, 2026 through March 31, 2027, resets annually, and commenced trading on Cboe BZX under ticker DDTA on April 1, 2026. Its initial outcome parameters included a 16.46% upside cap, a 10.00% inverse cap, and a 10.00% buffer, with a 0.79% expense ratio. Shares trade on an exchange at market prices and are created and redeemed at net asset value only in Creation Units. Innovator Capital Management LLC serves as investment adviser, and Foreside Fund Services LLC distributes the Fund’s shares. Innovator Capital Management became an indirect wholly owned subsidiary of The Goldman Sachs Group Inc. following GSAM Holdings LLC’s acquisition of Innovator on April 1, 2026; the transaction constituted a change in control and resulted in the adoption of a new investment-management agreement for the Fund.
