Business
Innovator ETFs Trust (the Trust) is a Delaware statutory trust that issues and redeems shares of registered exchange-traded funds, including the Innovator Equity Dual Directional 10 Buffer ETF - December (DDTD), which seeks to provide positive returns in both rising and certain declining equity markets through exposure to the SPDR S&P 500 ETF Trust (SPY), capturing upside gains up to a cap of 13.69%, delivering inverse performance up to a 10% threshold on SPY declines, and buffering losses beyond that threshold over a one-year outcome period from December 1, 2025, to November 30, 2026; the Trust offers a broad suite of defined outcome ETFs featuring buffer, floor, and step-up strategies across equity, fixed income, and growth segments, utilizing FLEX options on reference assets such as the S&P 500, Nasdaq-100, and Russell 2000 indices, with annual outcome period resets allowing indefinite holding. The Trust operates through its investment adviser, Innovator Capital Management, LLC, targeting institutional investors, financial advisors, and individual portfolios seeking risk-managed equity exposure without credit risk or active management, with products listed on the Cboe BZX Exchange and distributed by Foreside Fund Services, LLC. Headquartered in Wheaton, Illinois, the Trust traces its origins to Innovator Capital Management's founding in 2014 (with defined outcome ETF launches beginning in 2018) by ETF pioneers Bruce Bond and John Southard, formerly of PowerShares, and currently manages over $29 billion in assets under management across more than 150 strategies. In a major strategic development announced on December 1, 2025, Goldman Sachs agreed to acquire Innovator Capital Management in a cash-and-stock transaction valued at approximately $2 billion, subject to performance targets and regulatory approval, with the deal expected to close in Q2 2026 and integrate Innovator's leadership and staff into Goldman Sachs Asset Management to expand its ETF offerings to over $75 billion in assets under supervision; this follows Innovator's rapid growth as the second-largest provider of buffer ETFs and includes the recent listing of DDTD on December 1, 2025, with initial net assets of $0.95 million and an expense ratio of 0.79%.
