Innovator Emerging Markets Power Buffer ETF - October (EOCT) is an actively managed exchange-traded fund that seeks to provide investors with returns that match the price return of the iShares MSCI Emerging Markets ETF (EEM), up to an annual upside cap of 15.20% before fees, while buffering against the first 15% of EEM losses over a one-year Outcome Period from October 1 through September 30; the Fund invests substantially all of its assets in FLEX Options on EEM, which are customizable exchange-traded options guaranteed by the Options Clearing Corporation, enabling a defined outcome strategy that caps upside participation but limits downside risk to losses exceeding the buffer on a one-to-one basis. For the current Outcome Period ending September 30, 2026, the net cap after the 0.89% management fee is 14.31% and the net buffer is 14.11%, with outcomes realized only for shareholders holding Shares from the start to the end of the period; the Fund does not participate in EEM dividends and resets FLEX Options annually without termination. EOCT, launched on October 1, 2021 and listed on NYSE Arca, is a series of Innovator ETFs Trust, managed by Innovator Capital Management, LLC and co-managed by Milliman Financial Risk Management LLC, with exposure to mid- and large-cap emerging market equities across diversified sectors, particularly concentrated in Asia (including China), financials, and information technology. Innovator Capital Management, LLC, founded in 2017 and headquartered in Wheaton, Illinois, pioneered defined outcome ETFs, including the first Buffer ETFs in 2018, and sponsors a broad suite of 159 such products managing approximately $28 billion in assets under supervision as of September 30, 2025; the firm targets financial advisors, institutional investors, and individuals seeking risk-managed strategies for growth, income, and buffers in public markets via tax-efficient ETF wrappers. EOCT provides buffered exposure to global emerging markets, primarily Asia, without direct equity holdings, appealing to investors balancing upside potential against volatility in regions like China, India, Taiwan, and Brazil. In a major strategic development announced December 1, 2025, Innovator Capital Management entered into an agreement to be acquired by Goldman Sachs Asset Management for approximately $2 billion in cash and equity, subject to performance targets and regulatory approval, with closure expected in Q2 2026; this transaction will integrate Innovator's defined outcome ETF platform as a wholly owned subsidiary, expanding Goldman Sachs' active ETF offerings to over 215 strategies and $75 billion in assets, while Innovator's leadership and over 60 employees join the acquirer, enhancing distribution and product roadmap in the fast-growing defined outcome segment. No other significant acquisitions, partnerships, funding rounds, or product launches specific to EOCT have been reported in the last 1-2 years, though the Fund continues quarterly or annual outcome period resets with updated caps and buffers based on market conditions.
