The Nassau Companies of New York (formerly The Phoenix Companies, Inc.) provides life insurance and annuity products to families, individuals, and businesses in the United States. The company operates through two primary segments, Life and Annuity, and Saybrus; the Life and Annuity segment offers fixed indexed annuities, fixed annuities, single premium immediate annuities, and variable annuities, as well as life insurance products including whole life, universal life, indexed universal life, variable universal life, and term insurance. The Saybrus segment delivers life insurance and consulting services to financial advisors in partner companies, along with sales support for the company's product line through independent distribution organizations. Founded in 1851 and headquartered in Hartford, Connecticut, the company maintains a service center in East Greenbush, New York, and targets middle-market and mass affluent customers planning for or in retirement. It functions as a wholly owned subsidiary of Nassau Financial Group following Nassau Reinsurance Group Holdings L.P.'s acquisition of The Phoenix Companies, Inc. in June 2016 for $217.2 million. In January 2019, the company changed its name from The Phoenix Companies, Inc. to The Nassau Companies of New York, aligning with its parent entity's branding. More recently, in July 2025, it upsized and priced a private offering of $425 million aggregate principal amount of 7.875% senior notes due 2030 at 100.000% of face value, with proceeds earmarked for general corporate purposes including full repayment of its existing term loan credit facility; the notes closed on July 11, 2025. This capital raise supports ongoing financial strengthening and growth initiatives within the U.S. life insurance and annuity platform.
