Tellurian Inc. develops, constructs and operates liquefied natural gas (LNG) infrastructure worldwide, with a focus on low-cost production, marketing and trading of natural gas; it engages in upstream production, gathering and delivery of natural gas through its Haynesville shale assets in Louisiana and Texas, midstream development of LNG terminals and related pipelines such as the Driftwood LNG facility on the Calcasieu River in Louisiana designed for 27.6 million tonnes per annum capacity, and marketing & trading of LNG cargoes, natural gas volumes and capacity contracts to global customers including utilities, industrial users and traders in Europe, Asia and emerging markets. Founded in 2016 and headquartered in Houston, Texas, the company operates primarily in the United States with additional offices in Washington D.C., London and Singapore. Tellurian issued 8.25% senior notes due 2028 (NYSE: TELZ) to support its financing needs. In July 2024, Woodside Energy agreed to acquire Tellurian for $1.00 per share in cash, implying an enterprise value of approximately $1.2 billion including net debt, with the transaction unanimously approved by both boards and expected to close in Q4 2024 subject to shareholder and regulatory approvals; shareholders approved the merger in October 2024. Earlier in 2024, Tellurian sold its integrated upstream assets to Aethon Energy Management for $260 million, using proceeds to retire $230 million of senior secured notes due 2025 and securing a heads of agreement for Aethon to purchase 2 million tonnes per annum of Driftwood LNG output potentially leading to a 20-year offtake contract. The company underwent leadership changes in December 2023 with co-founder Charif Souki stepping down as chairman, replaced by Martin Houston, and implemented a strategic repositioning to prioritize Driftwood LNG development.
