Array Digital Infrastructure, Inc. (NYSE: AD), formerly United States Cellular Corporation, owns and operates shared wireless communications infrastructure, including approximately 4,400 cell towers across the United States; it also holds retained spectrum licenses across various bands and noncontrolling investment interests in additional wireless assets. The company provides tower leasing services to major wireless carriers, including a 15-year Master License Agreement with T-Mobile US, Inc. as a long-term anchor tenant on a minimum of 2,015 incremental towers and extended leases on approximately 600 existing sites. Headquartered in Chicago, Illinois, Array traces its roots to 1983 as a subsidiary of Telephone and Data Systems, Inc. (NYSE: TDS), which owns approximately 81% of the company, and operates primarily within the U.S. telecommunications tower sector targeting mobile network operators. In a transformative strategic shift completed on August 1, 2025, the company divested substantially all of its wireless operations—including 4.4 million retail connections, retail stores, and select spectrum assets—to T-Mobile US, Inc. for $4.3 billion in total consideration, comprising $2.6 billion in cash and $1.7 billion in assumed debt via an exchange offer. This transaction, initially announced in May 2024 and approved by the FCC in July 2025, repositioned the entity from a regional wireless carrier serving 21 states to a pure-play digital infrastructure provider, ranking as the fifth-largest tower company in the United States. Concurrently, Array entered agreements to sell portions of its retained spectrum to Verizon, AT&T, and two other operators, with plans to opportunistically monetize remaining holdings, alongside naming Douglas W. Chambers as interim President and CEO and changing its NYSE ticker from USM to AD effective August 12, 2025.
