Western Refining Inc. (NYSE: WNR) operates as an independent crude oil refiner and marketer of refined products primarily in the Southwestern, North-Central, and Mid-Atlantic regions of the United States. The company owns and operates refineries in El Paso, Texas; Gallup, New Mexico (also known as Four Corners Refinery); and St. Paul Park, Minnesota, with a combined crude oil processing capacity of approximately 262,000 barrels per day, producing gasoline, diesel fuel, jet fuel, asphalt, and other light transportation fuels; it also markets these products through wholesale distributors, retail chains, and brands including Giant, Mustang, Sundial, and Howdy's, while providing logistics services via terminals, storage, transportation assets, and a fleet of delivery trucks for crude oil, asphalt, refined products, and lubricants. Founded in 1992 and headquartered in El Paso, Texas, Western Refining serves markets in Texas, New Mexico, Arizona, Colorado, Nevada, Utah, northern Mexico, Minnesota, Wisconsin, the Dakotas, and the Mid-Atlantic region. In a major strategic shift, Tesoro Corporation announced its acquisition of Western Refining in November 2016 for approximately $6.4 billion, which closed in June 2017, leading Tesoro to rebrand as Andeavor; Andeavor was subsequently acquired by Marathon Petroleum Corporation in a $23.3 billion equity transaction that completed in October 2018, integrating Western Refining's assets into Marathon's portfolio of 16 U.S. refineries with over 3 million barrels per day capacity and enhancing midstream logistics in the Permian Basin and other crude oil regions. From late 2023 through early 2025, the entity's credit profile improved markedly, achieving a B1 rating level by November 2024 through financial restructuring, debt refinancing, operational enhancements such as refinery efficiency gains, and stabilized energy market conditions.
