First Trust Exchange-Traded Fund VIII – FT Vest U.S. Equity Enhance & Moderate Buffer ETF – January is a U.S.-domiciled, actively managed defined-outcome exchange-traded fund launched on January 19, 2024. The Fund seeks to provide approximately twice the positive price return of the SPDR S&P 500 ETF Trust, before fees and expenses, up to a predetermined upside cap, while seeking to provide a moderate buffer against specified declines in the underlying ETF over each approximately one-year January target outcome period. It invests substantially all of its assets in exchange-traded FLexible EXchange Options, including purchased and written call and put options referencing the SPDR S&P 500 ETF Trust; these customized options are structured to deliver leveraged upside exposure subject to the applicable cap and buffered downside exposure, with losses beyond the buffer generally borne on a one-for-one basis. The Fund provides publicly traded ETF shares, daily net asset value calculation, creation and redemption facilities for authorized participants in Creation Units, and intraday indicative value dissemination; its shares trade under the ticker XJAN on Cboe BZX. The Fund is non-diversified and is designed principally for U.S. investors seeking equity-market exposure with a defined-outcome options strategy rather than direct ownership of S&P 500 constituent equities. First Trust Advisors L.P., headquartered in Wheaton, Illinois, serves as investment adviser, and Vest Financial LLC serves as investment sub-adviser. The Fund is a separate series of First Trust Exchange-Traded Fund VIII, a registered management investment company. The Fund’s principal product offering remains its January-reset U.S. equity enhance-and-moderate-buffer strategy; at the conclusion of each target outcome period, it replaces its expiring FLEX Options with a new option portfolio and establishes a new upside cap based on prevailing market conditions, while continuing its recurring annual January defined-outcome program.
