Innovator ETFs Trust - Innovator Equity Defined Protection ETF - 1 Yr November is an actively managed, non-diversified exchange-traded fund that seeks to provide defined investment outcomes linked to the price return of the SPDR S&P 500 ETF Trust (SPY) over successive approximately one-year outcome periods ending in October. The fund invests principally in customizable, exchange-traded FLexible EXchange Options (FLEX Options) referencing SPY, including purchased and written call options and purchased put options, to provide participation in SPY price appreciation up to a predetermined upside cap while seeking to buffer 100% of SPY price losses for shareholders that hold fund shares from the beginning through the end of an outcome period; it does not seek to capture SPY dividend distributions and is not designed for income-seeking investors. For the November 1, 2025 through October 31, 2026 outcome period, the fund’s gross upside cap is 6.84%, or 6.05% after its 0.79% annual management fee, and its targeted 100% downside buffer is also reduced by management fees, transaction costs and other expenses. The fund continuously resets its FLEX Options portfolio and establishes a new cap and outcome period at each annual rebalance rather than liquidating at outcome-period end; its shares principally trade on Cboe BZX under the ticker ZNOV and are issued and redeemed at net asset value in Creation Units. Innovator Equity Defined Protection ETF - 1 Yr November is a series of Innovator ETFs Trust, is advised by Innovator Capital Management LLC and sub-advised by Milliman Financial Risk Management LLC, and is associated with Innovator’s Wheaton, Illinois headquarters. The fund commenced operations in 2024. Recent operational developments include the November 2025 reset of its November 2025–October 2026 outcome period and the establishment of the 6.84% gross upside cap; as of September 9, 2026, Innovator reported that ZNOV had a remaining cap of 1.09% and a remaining buffer of 94.58% for the current period. Innovator Capital Management entered into an agreement to be acquired by Goldman Sachs in a transaction announced in December 2025, with the business subsequently operating as Innovator from Goldman Sachs Asset Management, expanding its parent organization’s defined-outcome and active ETF capabilities.
