(NYSE: ADF) is a blank check company, or special purpose acquisition company (SPAC), whose principal business activity is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses; it focuses on targets in the financial services industry or general sectors, primarily in North America. The company offers no operating products or services beyond its SPAC structure, which includes 23 million public shares, 6.2 million founder shares, private shares and warrants with $11.50 strike prices exercisable over five years and $15.00 out-of-the-money warrants over ten years post-de-SPAC. Founded in 2020 and headquartered at 104 S. Walnut Street, Unit 1A, Itasca, Illinois 60143, Aldel Financial operates with no current subsidiaries or parent relationships and maintains its IPO trust with 100.5% cash coverage. In a prior iteration, Aldel Financial merged with Hagerty Inc. in December 2021, taking the Hagerty name and NYSE listing under HGTY; its successor entity, Aldel Financial II (Nasdaq: ALDF), completed a $230 million IPO on October 23, 2024, sponsored by Chairman and CEO Rob Kauffman with a 24-month term to complete a business combination. As of late 2025, Aldel Financial Inc. remains in the search phase for its initial business combination with no announced partnerships, acquisitions, funding rounds or product launches in the last 1-2 years.
