(APADR) is a blank check company, or special purpose acquisition company (SPAC), that focuses on effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses, primarily targeting the leisure and entertainment sector; it offers no current operational products or services beyond its SPAC structure, which includes Class A ordinary shares (APAD), rights (APADR) entitling holders to one-eighth of one Class A ordinary share upon consummation of an initial business combination, and units (APADU) comprising one share and one right. Incorporated in 2022 as a British Virgin Islands business company and headquartered at The Sun’s Group Center, 29th Floor, Wan Chai, Hong Kong, the company completed a $200 million initial public offering of 20 million units at $10 per unit in July 2025, with separate trading of shares and rights commencing August 2025; Cohen & Company Capital Markets served as the sole book-running manager, and the underwriter received a 45-day option for up to 3 million additional units. In November 2025, it announced a definitive merger agreement with Enhanced Ltd., a sports and performance products company organizing the Enhanced Games, valuing Enhanced at $1.2 billion with up to $200 million in gross proceeds assuming no redemptions; post-merger, the combined entity will be renamed Enhanced Group Inc. and list on Nasdaq under ENHA, expected to close in the first half of 2026, following Enhanced's $40 million SAFE private placement immediately prior. Previously known as A Paradigm Acquisition Corp., it operates globally with a focus on leisure and entertainment targets and has no subsidiaries or parent relationships as of late 2025.
