Business
ASA Gold and Precious Metals Limited is a closed-end fund focused on long-term capital appreciation through investments in the precious metals and mining sector; it allocates at least 80% of its total assets to equity securities of companies engaged in the exploration, development, mining, or processing of gold, silver, platinum, diamonds, or other precious minerals, as well as direct holdings in bullion, instruments representing interests in such minerals, and exchange-traded funds or similar securities replicating the price movements of gold, silver, or platinum bullion. The fund employs a bottom-up fundamental analysis approach, incorporating primary research such as executive meetings, site visits to operating assets, and proprietary financial modeling. Its common shares trade on the New York Stock Exchange under the ticker symbol ASA, and it is managed by Merk Investments LLC, with the portfolio managed by Peter Maletis. Established in 1958 and originally incorporated in South Africa before relocating its domicile to Bermuda in 2004, ASA Gold and Precious Metals Limited maintains its administrative base in Portland, Maine, and invests globally across public equity markets with a focus on the metals and mining industry, including small- and mid-capitalization companies offering leverage to rising gold prices, development-stage firms backed by strong partners, and producers with improving margins and balance sheets. In recent developments, the company has undergone significant board changes, including the appointment of Karen Caldwell as a director and chair of the Audit and Ethics Committee in 2025, the resignation of directors William Donovan and Mary Joan Hoene, and shareholder elections at the November 6, 2025 Annual General Meeting of directors Karen Caldwell, Neal Neilinger, Maryann Bruce, Ketu Desai, and Paul Kazarian; it also ratified Tait, Weller & Baker LLP as independent auditors for the fiscal year ending November 30, 2025. Amid governance disputes, ASA adopted a limited-duration shareholder rights plan in March 2025 through July 29, 2025, to address ownership concentrations by Saba Capital Management, L.P., its largest shareholder holding over 17% of shares and actively increasing its stake through multiple purchases in 2025 totaling millions of dollars. These changes reflect ongoing proxy battles, board expansions, and efforts to align governance with shareholder interests while maintaining focus on precious metals investments.
