Investment Managers Series Trust II – Tradr 2X Short BE Daily ETF is a U.S.-domiciled, exchange-traded fund series that seeks daily investment results, before fees and expenses, corresponding to two times the inverse (-200%) of the daily performance of the common stock of Bloom Energy Corp. The Fund, trading under the ticker symbol BEZ on Cboe BZX Exchange, is designed as a short-term tactical trading vehicle for sophisticated investors and professional traders seeking leveraged inverse exposure to Bloom Energy without directly using margin or options. It obtains its targeted exposure primarily through derivative instruments, including swap agreements, and may hold cash and other collateral-related assets in connection with its derivatives strategy. The Fund does not seek to provide its stated inverse multiple over periods longer than a single trading day; compounding, volatility and daily portfolio rebalancing can cause returns over longer periods to differ materially from -200% of the cumulative return of Bloom Energy common stock. BEZ is a series of Investment Managers Series Trust II, an open-end management investment company headquartered in Milwaukee, Wisconsin, United States. The Fund is advised by AXS Investments LLC and marketed under the Tradr ETFs platform, which offers leveraged and inverse exchange-traded products focused on actively traded securities. Its principal product is a single-stock, daily-reset inverse leveraged ETF tied specifically to Bloom Energy, a provider of fuel-cell and energy-generation solutions; accordingly, the Fund provides concentrated exposure to price movements in a single issuer rather than diversified equity-market exposure. Shares are bought and sold in the secondary market through brokerage platforms at market prices and are not individually redeemable except in creation-unit transactions by authorized participants. The Fund commenced operations in February 2026 and was launched by Tradr ETFs on February 11, 2026, alongside the Tradr 2X Short SMR Daily ETF, expanding Tradr’s suite of single-stock leveraged and inverse products focused on companies associated with energy infrastructure and the AI-compute buildout. The launch introduced a first-to-market 2x inverse daily strategy on Bloom Energy shares. In a subsequent capital-structure action, the Board of Trustees of Investment Managers Series Trust II approved a 1-for-10 reverse share split for BEZ on May 14, 2026; the split became effective after the close of trading on June 2, 2026, with split-adjusted trading commencing June 3, 2026. The reverse split changed the number of shares outstanding and per-share net asset value proportionately but did not change the aggregate value of shareholders’ investments, other than potential effects associated with fractional-share redemptions.
