BP Midstream Partners LP, a master limited partnership formed in 2017 and headquartered in Houston, Texas, owns, operates, develops, and acquires pipelines and other midstream assets in the United States as a subsidiary of BP p.l.c. The partnership's core assets include the BP2 crude oil pipeline system transporting onshore production to BP's Whiting, Indiana refinery; the Whiting to River Rouge refined products pipeline system; the Diamondback diluent pipeline system; a 28.5% interest in Mars Oil Pipeline Company LLC, which operates a major crude oil pipeline corridor in the Gulf of Mexico; and a 65% managing member interest in Mardi Gras Transportation System Company LLC; along with interests in entities owning natural gas pipelines and refined product terminals serving refining markets, trading, and distribution hubs. BP Midstream Partners generates substantially all revenue from long-term fee-based agreements and FERC-regulated tariffs for transporting crude oil, natural gas, refined products, and diluents primarily for BP and other customers across onshore and offshore U.S. operations. In 2022, BP completed its acquisition of all remaining publicly traded common units of BP Midstream Partners for approximately $723 million, delisting the partnership from the New York Stock Exchange and converting it into a wholly owned subsidiary to streamline ownership and governance of its midstream assets supporting BP's U.S. fuel value chain.
