The company completed its initial business combination with Vertical Aerospace Ltd., an electric vertical take-off and landing (eVTOL) aircraft developer, through a reverse merger structure, with the transaction closing in December 2021 and resulting in Broadstone’s public listing platform being combined with Vertical Aerospace and its shareholders. The transaction provided gross proceeds of at least approximately $300 million, including a fully committed PIPE led by strategic investors such as American Airlines, Avolon, Rolls-Royce, Honeywell, and Microsoft’s M12, and resulted in Vertical Aerospace’s ordinary shares and warrants listing on the New York Stock Exchange under the symbols “EVTL” and “EVTLW,” respectively. Following completion of the merger, Broadstone Acquisition Corp. ceased to operate as an independent SPAC with separate acquisition activities, having fulfilled its purpose by combining with Vertical Aerospace.
