CareMax, Inc. (NASDAQ:CMAX; CMAXW) operates as a technology-enabled value-based care delivery system focused on chronic disease management and comprehensive healthcare services for seniors, particularly Medicare Advantage beneficiaries and underserved communities. The company offers primary care, specialty care, telemedicine, health and wellness programs, optometry, dental services, pharmacy, transportation, and social services through its network of clinical centers; it also provides CareOptimize, a proprietary software platform delivering data analytics, rules-based decision tools, and workflows for physicians, along with management services supporting Medicare Shared Savings Program accountable care organizations. CareMax serves patients via Medicaid programs, commercial insurance plans, and direct care models across Florida and other U.S. markets, targeting whole-person health with preventative and coordinated interventions. Founded in 2011 and headquartered in Miami, Florida, CareMax manages approximately 46 clinical centers, employs around 1,100 staff, and supports over 260,000 patients nationwide through fully integrated, five-star rated health and wellness facilities. In late 2024, CareMax initiated a prearranged Chapter 11 bankruptcy process supported by 100% of its secured lenders, who provided $30.5 million in debtor-in-possession financing to maintain operations; the company entered a "stalking horse" purchase agreement with ClareMedica Health Partners for the sale of its core centers' assets, including a majority of its operating clinics, expected to close in early 2025 alongside the restructuring plan. Separately, Revere Medical agreed to acquire the Medicare Shared Savings Program portion of CareMax's management services organization, which serves about 80,000 Medicare beneficiaries and generated roughly $50 million in savings in 2023. These transactions aim to maximize asset value, ensure continuity of patient care, and right-size the company's capital structure amid strategic reviews.
