Business
Golden Star Capital Ventures Inc. is a Canada-based insulation contracting company that, through its indirect wholly owned subsidiary Okanagan Insulation Services (2007) Ltd., provides building-insulation installation, retrofit, renovation and related services for residential, multi-family, commercial, industrial and municipal construction projects. The Company installs spray foam insulation; blown-in or loose-fill fiberglass insulation; fiberglass batt and poly insulation; thermal-acoustic spray-on insulation; pour-foam insulation; Monoglass insulation; Rockwool sound-dampening insulation; crawlspace, wall, attic, roof and cathedral-ceiling insulation; soundproofing and air-sealing solutions. It also provides attic-insulation upgrades, including removal and disposal of existing cellulose, fiberglass, sawdust, spray-foam and certain other insulation materials; blow-in installations; ventilation and chute-vent additions; rigid-board roof insulation; and insulation work intended to meet applicable building-code and energy-efficiency requirements. The Company serves homeowners, homebuilders, developers, contractors and commercial customers across the Okanagan Valley and broader BC Interior, including the South, Central and North Okanagan, Kelowna, West Kelowna, Penticton, Vernon, Merritt, Salmon Arm and the Kootenay Boundary region. Its commercial project experience includes hotels, warehouses, wineries, breweries and office properties. Okanagan Insulation was founded in 1973 by Ken Meyer, incorporated in 1979, and subsequently reorganized in 2007 under Okanagan Insulation Services (2007) Ltd.; its operations are headquartered in Kelowna, British Columbia. In July 2026, Golden Star completed its qualifying transaction and acquired all outstanding securities of Okanagan through GS Acquireco I Inc., making Okanagan an indirect wholly owned subsidiary; the transaction included C$3.75 million in cash, subject to customary working-capital adjustments, and 1.0 million Golden Star common shares issued at a deemed price of C$0.30 per share. Concurrent with the acquisition, Golden Star completed a non-brokered subscription-receipt financing that raised aggregate gross proceeds of C$1.78 million and transitioned from a capital pool company to a TSX Venture Exchange Tier 2 Industrial Issuer trading under the symbol GCV.
