Victory Portfolios II – VictoryShares Free Cash Flow Growth ETF is a U.S.-domiciled, actively managed? No—rules-based exchange-traded fund launched on December 3, 2024 and listed on Nasdaq under the ticker GFLW. The Fund is a series of Victory Portfolios II and is advised by Victory Capital Management Inc., a wholly owned investment adviser of Victory Capital Holdings Inc., which is headquartered in San Antonio, Texas. GFLW seeks to provide investment results, before fees and expenses, that track the Victory Free Cash Flow Growth Index, a U.S. equity index designed to identify high-quality, large-cap growth companies with the potential to compound free-cash-flow generation over time. The Fund principally provides investors with exposure to U.S.-listed common stocks; large-cap growth equities; companies with positive historical and projected free cash flow; businesses exhibiting high free-cash-flow returns on invested capital; and issuers with favorable growth characteristics measured through sales, EBITDA and long-term growth trends. Under normal market conditions, it invests at least 80% of its assets in securities included in its underlying index and uses a full-replication approach. The index, constructed by VettaFi LLC, begins with a universe of 1,000 U.S. large-cap companies, excludes financial and real-estate companies, applies profitability, free-cash-flow and growth screens, selects approximately 100 qualifying constituents, weights holdings using free-cash-flow and momentum factors, caps individual holdings at 4%, limits sector concentrations, and reconstitutes and rebalances quarterly. The Fund’s product offering is a single exchange-traded investment vehicle targeting institutional investors, financial advisers and other investors seeking diversified, growth-oriented U.S. equity exposure through a free-cash-flow-focused methodology. Its latest major development was its December 2024 launch by Victory Capital as the third strategy in the firm’s next-generation free-cash-flow ETF suite, alongside the VictoryShares Free Cash Flow ETF and VictoryShares Small Cap Free Cash Flow ETF; the launch expanded Victory Capital’s rules-based ETF platform into large-cap growth equities emphasizing profitability and free-cash-flow growth.
