- GFM Resources Limited is a Vancouver, British Columbia-based mineral exploration company engaged in the acquisition, evaluation and development of prospective mineral properties, principally in Mexico. Incorporated in 1987, the Company historically held its mineral interests through its wholly owned subsidiary, GFM Resources de Mexico, S.A. de C.V. Its principal asset was the La Casita Property, comprising three contiguous mineral concessions covering approximately 1,180 hectares in Durango State, Mexico; the property has been under care and maintenance, with no material exploration work undertaken in recent years. GFM Resources’ services and activities include mineral-property acquisition; geological and technical evaluation; exploration-project development; concession administration; and the assessment of prospective exploration acquisition opportunities. The Company’s common shares trade on the NEX board of the TSX Venture Exchange under the symbol GFM.H. In March 2026, GFM Resources completed a non-brokered private placement of 30,000,000 units at CAD0.05 per unit for gross proceeds of CAD1.5 million, with proceeds designated for repayment of outstanding liabilities and general working capital; each unit comprised one common share and one warrant exercisable at CAD0.05 per share until March 31, 2027. The financing coincided with a board reorganization, including the resignation of Esteban Rivero González and Roberto Rivero Larrea and the appointment of Geir Liland and Quentin Adrian as directors, as well as grants of 700,000 stock options to certain directors, officers and consultants. Autlán, formerly the Company’s majority shareholder, disposed of its shareholding in connection with the financing-related transactions and ceased to be a reporting insider. In April 2026, GFM agreed to sell GFM Resources de Mexico, including the La Casita Property, to Compañía Minera Autlán, S.A.B. de C.V. for CAD427,284 in cash, subject to TSX Venture Exchange approval, representing a strategic divestiture of its Mexican operating subsidiary. The Company also entered into mandate agreements with Fiore Administration Services Corp. for corporate-administration and financial-advisory services.
