Business
GS Acquisition Holdings Corp II (GSAH), a blank check company sponsored by an affiliate of The Goldman Sachs Group Inc., focuses on effecting mergers, capital stock exchanges, asset acquisitions, stock purchases, reorganizations, or similar business combinations with one or more businesses, primarily targeting industrial, healthcare, technology, media and telecom, and alternative asset management sectors; it provides no operational products or services beyond its special purpose acquisition company structure. Headquartered in New York and formed in 2020, the company completed its initial public offering in June 2020, raising $750 million. In a major strategic development, GSAH completed a business combination with Mirion Technologies Inc., a global provider of mission-critical radiation detection and measurement solutions, in October 2021, after which the combined entity began operating as Mirion Technologies Inc. under the NYSE ticker MIR, with an enterprise value of approximately $2.6 billion at closing; this transaction, which included $604 million from trust proceeds, a $900 million private investment in public equity, and $830 million in senior secured term loan financing, marked the liquidation of GSAH as a standalone SPAC and its geographic operations transitioned to Mirion's worldwide footprint serving defense, energy, medical, and research markets.
