Business
Good Works II Acquisition Corp. (GWIIU) is a blank check company, or special purpose acquisition company (SPAC), formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses or entities; it currently has no significant operations and targets high-growth companies, including those impacted by COVID-19 disruptions, technological advances, or digitization trends across any industry or geography. Founded in 2020 and headquartered in Houston, Texas, the company went public in July 2021 with a $230 million initial public offering of units comprising one share of common stock and one-third of a warrant, led by I-Bankers Securities as sole bookrunner. Management, including CEO Cary Grossman, President Douglas Wurth, and Chairman Fred Zeidman, focuses on partnering with innovative private firms needing public listing and capital. In September 2022, Good Works II signed a non-binding letter of intent, followed by a definitive agreement in October 2022, to merge with Direct Biologics, LLC, a late-stage biotechnology developer of ExoFlo extracellular vesicle technology for inflammation and regenerative treatments valued at $675 million enterprise value with a $75 million minimum cash condition and up to $100 million private placement; however, the parties mutually terminated the transaction in February 2023 without completion. No further business combinations, acquisitions, or major strategic developments have been announced as of late 2025, with the SPAC remaining in search of a target amid ongoing Nasdaq trading of its units.
