V (Nasdaq: HCIC) is a blank check company, or special purpose acquisition company (SPAC), formed to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses, with a focus on sustainable industrial technology and infrastructure sectors, including advanced mobility or renewable fuel technologies, energy conservation solutions, electrical grid modernization, pollution control systems, water conservation technologies, and renewable energy generation; it targets businesses with an aggregate enterprise value of $1 billion or greater, primarily in the United States, which may include operations or opportunities abroad. Founded in October 2020 by Daniel J. Hennessy and headquartered in New York, the company completed an upsized initial public offering in January 2021, raising $345 million through the sale of 34.5 million units at $10.00 each, comprising Class A common stock and one-fourth of a redeemable warrant exercisable at $11.50 per share; sponsor Hennessy Capital Partners V LLC and anchor investors including funds managed by BlackRock and D.E. Shaw purchased private placement warrants concurrently. The company mutually terminated its merger agreement with Plus (formerly Plus.ai), a self-driving truck technology provider, in November 2021 due to regulatory changes outside the U.S., and in December 2022 canceled a special stockholder meeting, announced its intent to dissolve and liquidate without completing an initial business combination amid adverse market conditions including a declining SPAC market, high redemption rates, and PIPE market deterioration, resulting in redemption of all outstanding Class A shares at approximately $10.06 per share, delisting from Nasdaq, and termination of its Securities Exchange Act registration.
