- Highcliff Metals Corp. is a Vancouver, British Columbia-based mineral-exploration and resource-opportunity evaluation company. The Company does not currently own or operate mineral properties and therefore has no producing mines, mineral products, processing operations, or commercial service offerings. Its principal business is identifying, evaluating, negotiating and potentially acquiring mineral exploration properties, resource-sector businesses and related strategic opportunities; its evaluation scope includes natural hydrogen, helium, critical minerals, precious metals and other prospective commodities. The Company targets opportunities that management believes may provide long-term shareholder value and operates primarily through corporate and business-development activities in Canada, while assessing potential opportunities in the broader mineral exploration and resource sector. Highcliff Metals Corp. was formerly known as I-Minerals Inc.; it continued into British Columbia, changed its name to Highcliff Metals Corp. and completed a one-for-ten common-share consolidation effective April 11, 2023. In July 2026, the Company completed a non-brokered private placement of 8,235,758 common shares at CAD 0.085 per share, generating gross proceeds of approximately CAD 700,039 for general working capital, corporate indebtedness and costs associated with pursuing a new business. Antanas Guoga, an existing control person, subscribed for 1.8 million shares for CAD 153,000 and, following the financing, held 5.0 million shares, representing approximately 29.3% of issued and outstanding common shares. As of August 2026, Highcliff had not entered into a letter of intent, definitive agreement or other binding arrangement for an acquisition, option, business combination or other material transaction, and continued to review prospective resource-sector opportunities.
