Horizon Acquisition Corporation II (NYSE American: HZON) is a blank check company, or special purpose acquisition company, formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, primarily targeting opportunities in the media and entertainment industries; it offers no current products or operational services beyond its SPAC structure, including Class A ordinary shares and warrants held in trust for potential redemption or deployment in a de-SPAC transaction. Incorporated in 2020 and headquartered in Greenwich, Connecticut, the company conducts no significant ongoing operations and maintains its principal assets in a trust account for distribution to shareholders pending a business combination. In April 2023, Horizon mutually terminated its October 2022 business combination agreement with Flexjet Inc., a private aviation firm, receiving a roughly $30 million termination fee that facilitated a liquidating distribution of approximately $11.33 per share to Class A ordinary shareholders, exceeding the initial $10 per share trust value; following this, the company liquidated without pursuing further combinations ahead of its charter deadline, rendering its public and private warrants worthless upon expiration.
