Business
Integrated Rail and Resources Acquisition Corp. (IRRXU) operates as a blank check company, or special purpose acquisition company (SPAC), focused on effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, primarily in North America. The company targets railroad companies that transport bulk commodities; terminal companies that transload bulk commodities to and from railroads, pipelines, trucks and ports; producers of bulk commodities moved by railroads in large volumes; and manufacturers of rail cars used to transport bulk commodities. Incorporated in 2021 and headquartered in Winter Park, Florida, it functions as a subsidiary of DHIP Natural Resources Investments, LLC, with sponsorship from DHIP Group and Rio Grande Pacific Corporation; its units trade on the OTC Pink market following an initial public offering on the New York Stock Exchange in November 2021 that raised $230 million. In August 2024, the company announced a business combination agreement with Tar Sands Holdings II, LLC, Uinta Integrated Infrastructure Inc. and Uinta Infrastructure Group Corp. targeting oil sands assets; shareholders approved the transaction in June 2025, while the company executed multiple amendments and extensions to the merger agreement, including a fifth amendment in September 2025 pushing the termination date to December 1, 2025, and further trust extensions into November 2025 to facilitate closing.
