- ITHAX Acquisition Corp. (Nasdaq: ITHXW) operates as a blank check company, or special purpose acquisition company (SPAC), whose principal activity is to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The company focuses on targets in the leisure, hospitality, travel, and related technology and services sectors with enterprise values exceeding $600 million; its primary geographic emphasis is the United States, with secondary opportunities in Europe, Asia and Latin America. Incorporated in 2020 as a Cayman Islands exempted company and headquartered in New York, New York, ITHAX does not currently conduct substantive operations apart from its search for and pursuit of a suitable business combination target, organizational activities and activities related to its units, Class A ordinary shares and warrants. In July 2022, ITHAX completed a business combination with Mondee Holdings II Inc., a travel technology company, pursuant to which ITHAX was renamed Mondee Holdings Inc. with its shares and warrants trading under the symbols MOND and MONDW, respectively; the legacy ITHXW warrants represent the redeemable warrants originally issued in connection with ITHAX's January 2021 initial public offering of 24.15 million units at $10.00 each, which entitle holders to purchase Class A ordinary shares at $11.50 per share subject to exercise conditions post-combination. Following Mondee's Nasdaq delisting in December 2024 and its subsequent Chapter 11 bankruptcy filing in late 2025, the ITHXW warrants continue to trade on Nasdaq as residual securities tied to the original SPAC structure, while a new entity, ITHAX Acquisition Corp. III (ticker: ITHA), filed in November 2025 for a $200 million IPO led by the same management team to pursue fresh targets in asset management, leisure, hospitality, catering, travel, entertainment, gaming, lifestyle and related sectors driven by AI and digital assets, with enterprise values over $500 million and primary positioning in the United States, Latin America and Europe.
