Business
Legacy Gold Mines Ltd. is a Canadian-based gold exploration and development company focused on the acquisition, exploration and potential development of gold-mineralized properties in the United States. The Company’s principal asset is the Baner Gold Mine Property, located in the Orogrande Mining District in Idaho County, Idaho, for which it holds an option to acquire a 100% undivided interest in the underlying mineral claims. Its activities include geological mapping, geochemical and geophysical surveying, diamond core drilling, reverse-circulation drilling, assay analysis, resource-target delineation, mine-property evaluation and related project-development work. The Company is conducting a 2026 exploration program of up to 40,000 feet, comprising approximately 12,000 feet of core drilling and 28,000 feet of reverse-circulation drilling, targeting the Main Zone, Northwest Zone and other prospective areas at Baner; recent drilling has expanded the interpreted width and extent of gold mineralization within the Main Zone. Legacy Gold Mines is headquartered in Calgary, Alberta, Canada, and its common shares trade on the TSX Venture Exchange under the symbol LEGY. In April 2026, the Company completed a C$10.0 million non-brokered private placement through the issuance of 33,333,333 common shares at C$0.30 per share, with proceeds designated for Baner drilling, project development, business development and general corporate purposes; it also made the second payment under its Baner acquisition option, with the final option payment due in April 2027. During 2026, the Company initiated and advanced its expanded drilling program at Baner, completed a magnetotelluric geophysical survey, appointed Ernst & Young LLP as auditor in July in response to evolving audit requirements and cross-border operations, engaged Oak Hill Financial Inc. for investor-relations and marketing services effective August 2026, and appointed Dylan Gravelle as interim chief financial officer and corporate secretary effective September 8, 2026, succeeding Andrew Dunlop; the Company concurrently reconstituted its audit committee.
