Founded in 2010 and headquartered in El Segundo, California, the partnership was taken private on December 22, 2021, through a series of mergers pursuant to a transaction agreement with Landmark Dividend LLC (its sponsor, now backed by Digital Colony affiliates following a prior acquisition), under which Landmark Dividend acquired the remaining 86.8% interest for $16.50 per common unit in cash (a 38% premium to the unaffected price), with preferred units including Series A (LMRKP) converted to cash at $25 per unit plus accumulated unpaid distributions, resulting in delisting from Nasdaq and cessation as a publicly traded entity while preferred trading persists on residual markets.
