Business
Coliseum Acquisition Corp. (MITAW) is a blank check company, or special purpose acquisition company, formed to effect a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses, with a strategic focus on consumer products, services, and media companies at the intersection of sports, entertainment, digital media, and technology. Incorporated in 2021 as a Cayman Islands exempted company and headquartered at 1180 North Town Center Drive, Suite 100, Las Vegas, Nevada, the company raised $150 million in its initial public offering and maintained no significant operations or revenues prior to completing its initial business combination. In a major strategic shift, Coliseum completed a reverse merger with Rain Enhancement Technologies, Inc. on December 31, 2024, through which Rain Enhancement Technologies Holdco, Inc. emerged as the publicly listed entity trading under the Nasdaq ticker RAIN; post-merger, the combined company develops, manufactures, and commercializes ionization-based rainfall enhancement technology that generates 10-20% additional precipitation without chemicals, targeting drought-impacted regions, agriculture, power plants, municipal water authorities, and tourism sectors globally. The transaction involved shareholder approval on December 23, 2024, SEC effectiveness of the Form S-4 registration statement on December 10, 2024, and Rain Enhancement Technologies rolling over $45 million in equity to hold a 52.4% stake at 100% redemption, with RET's management team, led by CEO Chris Riley, continuing to lead the public entity. Coliseum's warrants (MITAW) persist as derivative securities linked to the post-merger structure, while the core operations now center on environmentally friendly, solar-powered weather modification systems proven effective in trials such as a six-year study in Oman, complemented by machine learning for precise rainfall monitoring and serving markets in water-stressed areas worldwide.
