In January 2024, Newcourt Acquisition Corp completed a reverse merger transaction, or de-SPAC, with Psyence Biomedical Ltd., a life science biotechnology company developing natural psilocybin-based therapeutics for palliative care and mental health indications including adjustment disorder, anxiety and depression; following shareholder approval on January 18, 2024, and closing on or about January 25, 2024, Psyence Biomedical Ltd. assumed the public listing on Nasdaq under the new ticker symbol PBM, with Newcourt's legacy units (NCACU) marked as potentially delisted thereafter. The business combination valued Psyence Biomedical at a pre-money equity value of approximately $50 million, with minimum net cash proceeds of $20 million from Newcourt's trust account after redemptions of about $10.7 million, supplemented by up to $10 million in senior secured convertible note financing; Psyence Group Inc., the parent entity, retained significant ownership and board control of the combined company, which continues Psyence Biomedical's Phase IIb clinical trials of lead candidate PEX010 (natural psilocybin capsule) in Australia. No further major acquisitions, funding rounds or strategic shifts for the standalone Newcourt entity have occurred since the merger, with its legacy ticker NCACU now inactive as of December 2025.
