Business
Osiris Acquisition Corp. (NYSE: OSI) operates as a blank check company, or special purpose acquisition company (SPAC), with no significant ongoing operations other than seeking and completing an initial business combination through a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar transaction with one or more target businesses or assets. The company targets fundamentally strong franchises, particularly in consumer, retail, or leisure sectors with recognizable brands that possess loyal customers and face temporary dislocations, such as those impacted by COVID-19, to maximize equity value creation through access to public markets liquidity. Incorporated in 2020 and headquartered at 95 5th Avenue, 6th Floor, New York, New York, Osiris focuses on businesses offering dependable cash flows and durable franchises across any industry or geography, subject to at least 80% of its trust account net assets comprising the fair market value of the post-combination entity and acquiring at least 50% of the target's outstanding voting securities. The company listed on the NYSE in May 2021 following a $230 million initial public offering underwritten by Jefferies LLC; units began separate trading of Class A common stock and warrants in July 2021. Stockholders approved an extension of the initial business combination deadline from May 18, 2023, to May 18, 2024, in December 2022, but the company failed to identify or complete a suitable target thereafter. In May 2024, Osiris announced full redemption of public shares effective May 30, 2024, at approximately $10.68 per share net of certain expenses, ceasing operations, redeeming warrants, and liquidating in accordance with its charter, with no merger, acquisition, partnership, funding, or operational continuation as of late 2025.
