PGIM Rock ETF Trust – PGIM S&P 500 Buffer 20 ETF – January is an actively managed, non-diversified U.S. exchange-traded fund that seeks to provide returns matching the price return of the SPDR S&P 500 ETF Trust, up to a predetermined annual upside cap, while buffering the first 20% of underlying ETF losses before fees and expenses over a one-year January-to-December target outcome period. The fund invests substantially all of its assets in customized exchange-traded FLexible EXchange Options, or FLEX Options, referencing the SPDR S&P 500 ETF Trust; maintains at least 80% of net assets, plus borrowings for investment purposes, in investments providing exposure to S&P 500 Index securities; and provides U.S. large-cap equity-market exposure across sectors through a combination of purchased and written European-style put and call option contracts. The portfolio’s defined-outcome strategy is designed to provide capped upside participation and limited downside buffering only for shareholders holding shares throughout the complete target outcome period; losses beyond the 20% buffer are generally incurred on a one-for-one basis, and outcomes for investors purchasing or selling shares during an outcome period can differ materially from the stated cap and buffer. The fund charges a 0.50% management fee, is listed on Cboe BZX Exchange, and has a fiscal year-end of October 31. It was formed on December 29, 2023, is domiciled in the United States, and is part of PGIM Rock ETF Trust. PGIM Investments LLC serves as investment manager, while PGIM Quantitative Solutions LLC serves as subadviser; both are affiliates of PGIM, the global asset-management business of Prudential Financial, Inc. The fund is managed by PGIM Quantitative Solutions personnel John Hall, Devang Gambhirwala, and Marco Aiolfi. For the January 1, 2026 through December 31, 2026 target outcome period, the fund established a gross upside cap of 10.43% and a net cap of 9.93% after its management fee, while the net buffer is 19.5%; the cap is reset at the beginning of each subsequent annual outcome period based on prevailing market conditions.
