The fund is a series of PGIM ETF Trust, a Delaware statutory trust headquartered at 655 Broad Street, Newark, New Jersey, and is managed by PGIM Investments LLC, with PGIM Quantitative Solutions LLC serving as subadviser. PGIM is the principal asset-management business of Prudential Financial, Inc. The fund provides investors with an actively managed, diversified portfolio solution designed to participate in U.S. equity-market appreciation while seeking to moderate exposure to market declines. Its principal investment products and instruments include listed and FLEX options; options and futures linked to the S&P 500 Index and related exchange-traded funds; swap agreements; U.S. Treasury securities; cash and cash equivalents; and other fixed-income or derivative positions. PBL does not seek to directly hold individual equity securities; instead, it employs derivatives and Treasury-related exposures to target, on average, approximately 60% participation in rising equity markets and 30% participation in falling equity markets, subject to the adviser’s active allocation decisions, market conditions, transaction costs and fund risks. The fund serves U.S. retail and institutional investors, financial advisers and wealth-management platforms seeking a liquid exchange-traded vehicle combining equity-market exposure with downside-management features. Shares are created and redeemed primarily in 20,000-share Creation Units through authorized participants. Recent developments include PGIM ETF Trust’s May 2026 amendment of its transfer agency and service agreement with The Bank of New York Mellon, which continued the fund’s transfer-agency arrangements and confirmed PBL’s 20,000-share Creation Unit size; the trust also expanded its ETF lineup in 2026 with additional fixed-income and core-equity offerings, including the PGIM AAA CLO Aggregate Duration ETF, PGIM Securitized Income ETF and PGIM Jennison U.S. Core Equity ETF.
