PGIM S&P 500 Max Buffer ETF – August is a non-diversified, actively managed exchange-traded fund series of PGIM Rock ETF Trust that seeks to provide returns linked to the price return of the SPDR S&P 500 ETF Trust, up to a predetermined upside cap, while seeking to maximize downside protection over an approximately one-year target outcome period. The fund invests principally in customized Flexible Exchange Options, or FLEX Options, on SPY to establish its defined-outcome exposure; it offers S&P 500 equity-market participation subject to an upside cap; an annually reset target outcome profile beginning in August; and a maximum-loss buffer that may vary according to prevailing options-market conditions. The fund is listed on Cboe BZX under the ticker PMAU, benchmarks performance against the S&P 500 Price Return Index, and was launched on July 31, 2025. PMAU is managed by John Hall, Devang Gambhirwala, and Marco Aiolfi of PGIM Quantitative Solutions, PGIM’s systematic quantitative equity and multi-asset investment business, and is offered to U.S. retail and institutional investors through brokerage and advisory channels. PGIM Investments serves as investment manager, while PGIM and its affiliates operate as the global asset-management business of Prudential Financial, Inc., headquartered in Newark, New Jersey. The fund’s most recent strategic operating change occurred at the annual reset effective August 1, 2026, when it commenced a new target outcome period ending July 31, 2027, with a gross upside cap of approximately 7.89%, a net cap of approximately 7.39% after the unitary management fee, and a stated 100% downside buffer before fees and expenses. The reset updated the fund’s option portfolio and target-outcome terms; outcomes are designed to approximate the stated profile only for investors purchasing at the beginning of, and holding shares through the end of, the applicable outcome period.
