PGIM Rock ETF Trust – PGIM S&P 500 Quarterly Buffer 5 ETF is an actively managed, non-diversified U.S. exchange-traded fund that seeks to provide investors with the price return of the State Street SPDR S&P 500 ETF Trust, up to a predetermined upside cap, while buffering the first 5% of losses in the reference asset over each approximate three-month target outcome period. The Fund principally provides defined-outcome equity exposure through FLEX Options on SPY and associated cash or collateral investments; it generally resets its options strategy and establishes a new upside cap at the beginning of each quarterly outcome period. The Fund is classified in the alternative asset class, tracks the S&P 500 Price Return Index as its benchmark, and trades on the Cboe BZX Exchange under the ticker PQV. The Fund is intended for retail and institutional investors seeking capped-upside exposure to U.S. large-cap equities combined with limited downside protection over a defined quarterly holding period; the buffer and cap apply only as designed for investors holding shares from the first day through the end of the applicable outcome period. PGIM S&P 500 Quarterly Buffer 5 ETF was launched on June 30, 2026, is domiciled in the United States, and has a 0.50% net expense ratio. The Fund is part of PGIM Rock ETF Trust and is managed by PGIM Investments, a Prudential Financial affiliate, with portfolio-management and subadvisory support from PGIM Quantitative Solutions. PGIM, the global asset-management business of Prudential Financial, is headquartered in Newark, New Jersey, and serves retail and institutional clients internationally through investment capabilities spanning public and private fixed income, equities, real estate, and alternatives. The Fund’s principal recent strategic development is its June/July 2026 launch as one of four new PGIM S&P 500 Quarterly Buffer ETFs, alongside the 10%, 15%, and 20% buffer versions traded as PQX, PQXV, and PQXX, respectively. The launch expands PGIM’s defined-outcome ETF lineup by introducing quarterly, rather than annual, target outcome periods and broadens its buffer ETF suite across S&P 500 and Nasdaq-100 exposures, varying buffer levels, outcome periods, and laddered products.
