- Principal Technologies Inc. is a Vancouver, British Columbia-based healthcare technology acquisition and development company that builds a portfolio of medical technology assets with intellectual property and potential for international distribution. The Company focuses on technologies intended to enhance medical-treatment quality, improve cost efficiency, optimize patient pathways and support point-of-care healthcare delivery. Its principal development activity is a proprietary thermal sensor technology licensed for 20 years from Oxford University Innovation Limited, the technology-transfer organization of the University of Oxford. Through its wholly owned United Kingdom subsidiary, Efxentis Ltd., Principal conducts research, product development, testing and medical trials for applications of the thermal sensor platform, initially targeting the diagnosis of skin cancer. The Company also provides or has historically provided international clinical-research project-management services through its former controlled interest in Vienna, Austria-based E&E CRO Consulting GmbH, a contract research organization specializing in tailored management of multinational clinical studies, primarily involving medical-device technologies. Principal’s operations include healthcare technology asset acquisition; medical-device research and development; clinical-study planning, testing and consulting; technology licensing; intellectual-property development and commercialization planning; and prospective distribution, marketing and point-of-care implementation of approved healthcare products.
Principal Technologies was incorporated in British Columbia, Canada, on April 3, 2018, and maintains its registered and records office at 700 West Georgia Street, Vancouver, British Columbia. In 2025, Principal entered into the Oxford technology licence agreement and initiated research and development activities for the thermal sensor product, including the skin-cancer diagnostic application. The Company also entered into an approximately €2.4 million financing agreement with an Austrian group to fund initial research and development and corporate activities under the Oxford licence, with funding structured in tranches in exchange for common shares and a 50% net-profit interest in thermal sensor medical technology products developed for skin cancer. Principal began the initial skin-cancer research, prototype development and testing program on August 1, 2025, with completion projected by October 31, 2026. In October 2025, the Company disposed of 60% of the outstanding shares of E&E CRO Consulting GmbH, reducing its interest from 80% to 20%, in order to concentrate its operations on medical technology research and development; the transaction remained subject to TSX Venture Exchange approval at the time of the Company’s disclosure. Principal previously pursued the acquisition of a controlling interest in Swiss medical research and applications developer Syndermix AG, but allowed the original proposed transaction to lapse after due diligence and shifted its focus toward potentially acquiring selected Syndermix medical assets rather than the complete portfolio. In July 2026, Principal completed a non-brokered private placement of 2,200,027 common shares at C$0.50 per share for gross proceeds of approximately C$1.10 million to support research and development obligations and general working capital, and settled approximately C$1.22 million of outstanding debt through the issuance of 2,436,741 common shares at a deemed price of C$0.50 per share.
