Business
Alpine Acquisition Corporation (NYSE:REVEU) is a blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization, or similar business combination with one or more businesses. The company focuses its search on destination hotels, digital entertainment and gaming, and lodging technology businesses; it has not commenced operations nor generated revenues. Founded in 2021 and headquartered at 10141 N. Canyon View Lane in Fountain Hills, Arizona, Alpine raised $107 million in its initial public offering in September 2021, with units trading under the ticker REVEU, comprising one share of common stock and one-half of a redeemable warrant. In May 2022, Alpine entered into a definitive business combination agreement valued at approximately $153 million with Two Bit Circus, Inc., a micro-amusement park operator in Los Angeles planning to acquire conference hotels in Denver, Colorado, and Stamford, Connecticut, under the Revelers Resorts brand, supplemented by a $25 million PIPE and $75 million mortgage financing; the deal was amended multiple times through late 2022 to adjust consideration from $49.8 million to $49.6 million in stock for Two Bit Circus equity holders, with the combined entity to be renamed Two Bit Entertainment Corp. and remain listed on Nasdaq. In March 2023, Alpine canceled its completion stockholder vote scheduled for March 30 due to inability to meet the April 2 deadline amid repeated adjournments and high redemptions of 98% of its trust at a prior extension vote, leaving $2.22 million, and announced liquidation of its assets. As of late 2025, the company remains an inactive instrument with no further business combinations or operations reported.
