Ribbon Acquisition Corp. (NASDAQ: RIBB) operates as a blank check company whose principal business activity is to pursue a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses or entities. Incorporated in 2024 and headquartered at Central Park Tower, LaTour Shinjuku Room 3001, 6-15-1 Nishi-Shinjuku, Shinjuku-ku, Tokyo 160-0023, Japan, the company currently conducts no significant operations and focuses exclusively on identifying and completing an initial business combination opportunity. It offers no products or services beyond its SPAC structure, including Class A ordinary shares, units and rights traded on the Nasdaq Global Market under the symbols RIBB, RIBBU and RIBBR respectively; fiscal year ends December 31 with reporting in U.S. dollars. In June 2025, Ribbon Acquisition entered into a definitive business combination agreement with DRC Medicine Ltd., a Tokyo-based healthcare and biotechnology firm developing advanced medical technologies such as Hydro Silver Titanium devices, therapeutic masks for allergic rhinitis and in vitro diagnostic kits; the transaction implies a pre-money equity value of $350 million for DRC on a fully diluted basis and approximately $422.15 million pro forma for the combined entity, with DRC shareholders retaining 100% of their equity and expected to own 82.91% post-combination.
