Retail Value Inc. (NYSE: RVI) operates as a real estate investment trust focused on the ownership, operation, and disposition of retail shopping centers to realize shareholder value through asset sales and liquidating distributions. The company offers real estate services including property management, leasing to retail tenants, and strategic sales of shopping centers; it previously held a portfolio of grocery-anchored open-air shopping centers in the continental United States and Puerto Rico, totaling approximately 16 million square feet at spin-off. Retail Value Inc. was founded in 2017 as a wholly-owned subsidiary of SITE Centers Corp., spun off in July 2018, and is headquartered in Beachwood, Ohio; it is managed by subsidiaries of SITE Centers Corp. and targets institutional and retail investors with its wind-down strategy. Since completing the sale of its last remaining property, Crossroads Center in Gulfport, Mississippi, in April 2022, Retail Value Inc. has executed multiple liquidating distributions to shareholders, including $0.11 per share in April 2024, $0.17 per share in 2023, and a 2024 distribution with tax allocations announced in January 2025; the company filed a certificate of dissolution with Ohio in June 2022 and continues administering its wind-up process without owning operational real estate assets. Common shares now trade over-the-counter under RVIC after voluntary delisting from the NYSE in April 2022, with stock transfer books closed and trading risks heightened as liquidation concludes. These actions mark the completion of its strategic shift from active retail operations to full dissolution, generating over $1.8 billion in gross proceeds from property sales since inception.
