II (SAIIU) operates as a blank check company, or special purpose acquisition company (SPAC), whose sole purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, primarily targeting software companies serving enterprise vertical sectors owned by private equity, venture capital firms or corporate carve-outs; it offers no other products or services. Founded in 2020 and headquartered at 1980 Festival Plaza Drive, Suite 300, in Las Vegas, Nevada, the company completed a $150 million initial public offering in September 2020 of 15 million units priced at $10 each, which began separate trading of Class A common stock (SAII) and warrants (SAIIW) on Nasdaq Capital Market. In August 2021, it completed a reverse merger transaction with Otonomo Technologies Ltd., an Israeli auto-tech firm providing a platform and marketplace for vehicle data from connected cars serving applications in emergency services, mapping, parking and predictive maintenance with partners including BMW AG, Daimler AG, Mitsubishi Motors Corp. and Mercedes-Benz; the combined entity retained the Otonomo Technologies Ltd. name and traded under OTMO/OTMOW until Otonomo's subsequent acquisition by Urgent.ly in 2023 for $270 million following workforce reductions and revenue shortfalls. The SAIIU units continue to trade on Nasdaq OTC at approximately $10.16 as of late 2025 with no further business combinations or major developments reported.
