- F/m Emerald Special Situations ETF (SPIT) is an actively managed exchange-traded fund that seeks long-term capital appreciation by investing primarily in equity securities of U.S. companies undergoing unique, idiosyncratic special situations, such as technological breakthroughs, corporate reorganizations, mergers and acquisitions, recapitalizations, spin-offs, divestitures, significant business model changes, material contracts, litigation resolutions, management transitions, regulatory shifts, and macroeconomic catalysts; eligible investments include common and preferred stocks, convertible preferred stocks, REITs, depositary receipts, shares of other investment companies, private placements, warrants, rights, and SPACs with identified acquisition targets; up to 10% of net assets may be allocated to foreign companies listed on U.S. exchanges and financial technology firms exposed to distributed ledger technology or blockchain.
The fund follows an 80% policy, investing at least 80% of net assets plus borrowings in special situations equities across all market capitalizations, industries, and sectors without benchmark or sector constraints, employing Emerald Mutual Fund Advisers Trust's proprietary 10-step research process involving SEC filings review, management meetings, financial modeling, industry contacts, and due diligence.
Launched on October 6, 2025, through a tax-free reorganization and conversion of the Emerald Insights Fund (incepted August 1, 2014), SPIT represents the second ETF partnership between investment adviser F/m Investments LLC (Washington, D.C.) and sub-adviser Emerald Mutual Fund Advisers Trust (Leola, Pennsylvania, founded 1991), following the F/m Emerald Life Sciences Innovation ETF (LFSC) in October 2024; the conversion transferred approximately $17 million in assets under management, with an expense ratio of 0.89% and portfolio turnover of 65% in the prior fiscal year.
SPIT trades on Nasdaq, targets institutional and individual investors seeking high-conviction, research-driven exposure to mispriced opportunities independent of broad market trends, and operates primarily in U.S. markets with limited foreign exposure.
