EA Series Trust – Cambria Tax Aware ETF is an actively managed exchange-traded fund launched in 2024 and listed on The Nasdaq Stock Market under the ticker symbol TAX. The Fund seeks to provide a tax-efficient investment return consisting primarily of capital appreciation by investing in U.S.-listed equity securities of companies with market capitalizations exceeding $5 billion. It employs a proprietary quantitative, multi-factor value-selection process to identify companies with relatively low dividend distributions and attractive valuation characteristics, including price-to-sales, price-to-earnings and enterprise-value-to-EBITDA metrics; screens the largest 1,000 U.S. equities for market capitalization, liquidity and sector-concentration requirements; excludes higher-yielding securities; and generally constructs an equal-weighted portfolio of 50 to 500 stocks, subject to periodic rebalancing, investment opportunities, cash needs and redemptions. The Fund is designed principally for taxable investors seeking exposure to large-capitalization U.S. equities while aiming to reduce taxable dividend income and enhance after-tax returns; however, its tax-aware approach does not eliminate taxable distributions or capital gains and may result in lower pre-tax performance relative to comparable non-tax-managed strategies. Shares are bought and sold through broker-dealers in the secondary market, while creation and redemption activity is conducted in large Creation Units by authorized participants. EA Series Trust serves as the registered investment company; Empowered Funds LLC, doing business as EA Advisers, acts as investment adviser; and Cambria Investment Management LP acts as investment sub-adviser. Mebane Faber, Cambria’s Chief Investment Officer, and Jonathan Keetz, Cambria’s Chief Operating Officer, are responsible for day-to-day portfolio management. The Fund charges a 0.49% management fee and is headquartered through its trust structure in Lewes, Delaware, with investment-management operations conducted in the United States. Major recent developments include the Fund’s December 2024 commencement of operations and launch through a collaboration between Cambria Investment Management and ETF Architect; the initial seeding of the Fund through one or more in-kind contributions intended to qualify as tax-deferred Section 351 exchanges, enabling investors and advisers to contribute qualifying appreciated securities in exchange for Fund shares; the reporting of a 78% portfolio-turnover rate for the period from inception through November 2025; and the March 2026 prospectus update, as supplemented in June 2026, which continues to identify TAX as part of Cambria’s Nasdaq-listed ETF lineup alongside the Cambria Global Shareholder Yield ETF, Cambria Endowment Style ETF and Cambria Global EW ETF.
