Business
Verdera Energy Corp. is a uranium exploration and development company focused on advancing in-situ recovery, or ISR, uranium assets in New Mexico, United States. The Company’s principal activities comprise the acquisition, exploration, evaluation, permitting and potential development of sandstone-hosted uranium mineral properties; the use of ISR extraction methods designed to recover uranium without conventional open-pit or underground mining; the management of private mineral rights and historical uranium-resource data; and the identification of additional uranium exploration and development opportunities from its proprietary geological database. Verdera targets the U.S. domestic nuclear-fuel market and seeks to support demand for domestically sourced uranium for nuclear-power generation. The Company’s portfolio is concentrated in New Mexico’s Grants Uranium District and includes four principal large-scale uranium properties with historical resources, including the West Largo Project, for which it commenced an NI 43-101 technical report in May 2026. Verdera reports private mineral rights spanning approximately 400 square miles, known and historical uranium resources of approximately 88 million pounds, and a proprietary New Mexico uranium exploration and development database containing more than 200,000 drill-hole logs. Its services and capabilities include mineral-land and resource-data management; geological interpretation; exploration targeting; historic-resource validation and technical reporting; ISR project development planning; and community and stakeholder engagement relating to prospective uranium operations. The Company maintains operations focused on New Mexico while being headquartered in Vancouver, British Columbia, Canada. Verdera was incorporated in 2021 and formerly operated as POCML 7 Inc.; it adopted the Verdera Energy Corp. name in February 2026 in connection with its qualifying transaction and commencement of trading on the TSX Venture Exchange under the symbol V. The Company also trades on the OTCQB Venture Market under the symbol VUECF. Verdera Energy Holdings Inc. operates as a wholly owned subsidiary following the Company’s go-public transaction. Recent strategic developments include the February 2026 completion of a C$20 million brokered financing and the qualifying transaction with POCML 7 Inc.; the March 2026 acquisition of the Kerr-McGee New Mexico uranium database, which supplemented the Uranium Resources Inc. database acquired through the Company’s 2025 transaction with enCore Energy Corp.; and the May 2026 commencement of an NI 43-101 technical report for West Largo. In September 2026, Verdera entered into an agreement to sell a 100% interest in the Treeline Uranium Project in Cibola and McKinley Counties, New Mexico, to Americas Uranium Corp., subject to royalties, for US$100,000 in cash and C$2 million in Americas Uranium common shares payable in stages over 36 months. The transaction reflects Verdera’s strategic emphasis on advancing its core large-scale New Mexico uranium properties. Also in September 2026, the U.S. Securities and Exchange Commission declared effective Verdera’s Form F-1 registration statement relating to enCore’s planned distribution of 35 million Verdera common shares to enCore shareholders, subject to applicable approvals and conditions.
