Business
Vickers Vantage Corp. I (VCKAU) is a blank check company, or special purpose acquisition company (SPAC), formed to effect a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization, or similar business combination with one or more businesses or entities; it currently conducts no significant operations. The company offers no core products or services beyond its SPAC structure, which provides public market access to private companies through de-SPAC transactions. Incorporated in 2020 and headquartered at 1 Harbourfront Avenue, #16-06 Keppel Bay Tower, Singapore, it targets opportunities primarily in Asia and the United States. In November 2022, Vickers Vantage Corp. I completed a reverse merger transaction through which it was acquired by Scilex Holding Company, a majority-owned subsidiary of Sorrento Therapeutics, Inc., enabling Scilex to become publicly traded under the ticker SCLX on Nasdaq; the deal followed a definitive business combination agreement signed in March 2022 valued at approximately $1.64 billion pro forma equity post-money, with Scilex equity holders rolling 100% of their interests into the combined entity. Prior to closing, the company, originally Cayman Islands-incorporated, redomesticated to Delaware and extended its business combination deadline multiple times through 2022, including shareholder approvals in June and November. The transaction provided up to $140 million in gross proceeds before expenses to support Scilex's commercialization of pain management therapies like SP-102 (SEMDEXA), clinical development programs, commercial team expansion, and business development; post-merger, Scilex leadership, headed by CEO Jaisim Shah, assumed control of the combined public entity.
