- 10X Capital Venture Acquisition Corp. III (VCXB-WT) is a blank check company, or special purpose acquisition company (SPAC), formed to effect a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses or entities. In August 2023, 10X Capital Venture Acquisition Corp. III announced a business combination agreement with Addimmune, a clinical-stage biotechnology firm developing gene-modified cell therapies including AGT103-T for HIV, at an implied enterprise value of $500 million, supported by a non-binding letter of intent for a committed equity facility of up to $50 million from a Cantor Fitzgerald affiliate. In April 2023, it had executed a non-binding letter of intent for a reverse merger with American Gene Technologies International Inc., also in biotechnology. Both transactions were mutually terminated, with the Addimmune agreement ending on June 21, 2024, and the American Gene Technologies deal similarly abandoned.
Unable to complete an initial business combination by the extended deadline, the company announced redemption of all outstanding Class A ordinary shares on July 11, 2024, at $11.13 per share in cash, with trading in shares ceasing on July 12, 2024, and redemption completing on July 17, 2024, resulting in the SPAC's liquidation. As of December 2025, VCXB-WT warrants remain listed and tradable, with no further merger activity reported. The sponsor, affiliated with 10X Capital, an alternative asset management firm leveraging data analytics and AI, holds significant insider ownership at approximately 82%.
