Tidal Trust II – Defiance Daily Target 2X Long WYFI ETF is a non-diversified, actively managed exchange-traded fund that seeks daily investment results, before fees and expenses, of 200% of the daily percentage change in the share price of WhiteFiber, Inc. (Nasdaq: WYFI). The fund is sponsored under the Tidal Trust II trust structure, advised by Tidal Investments LLC, and issued under the Defiance ETFs brand. It is listed on Cboe BZX Exchange under the ticker WYFL and is domiciled in the United States. Launched on June 3, 2026, the fund provides short-term tactical leveraged exposure to WhiteFiber, a provider of high-performance computing data centers, hosting and colocation services, and cloud-based graphics processing unit services for artificial intelligence and machine-learning workloads. The fund’s principal investment products and services consist of daily 2x long exposure to WhiteFiber common-stock price movements; total-return swap agreements referencing WhiteFiber shares; listed options contracts, including short-dated in-the-money call options and other option combinations designed to produce leveraged exposure; and collateral investments in U.S. government securities, money market funds, short-term bond ETFs, commercial paper and other investment-grade short-term debt instruments. WYFL generally uses swaps and/or listed options rather than directly holding WhiteFiber shares, rebalances its derivative exposure daily, and seeks to maintain economic exposure approximately equal to twice the underlying security’s daily share-price performance. The fund is designed for active traders and sophisticated investors seeking short-term bullish exposure to WhiteFiber without using a margin account; it does not seek to achieve its objective over periods longer than a single trading day. WYFL’s investment activity is concentrated in a single issuer and indirectly in the information-technology, AI infrastructure, high-performance computing, data-center and GPU-cloud markets served by WhiteFiber. Its performance is subject to WhiteFiber-specific equity-price movements, daily leverage, derivative counterparty and liquidity considerations, financing costs, portfolio turnover, market volatility and the compounding effects of daily rebalancing. The fund’s 1.31% gross annual expense ratio includes a 1.29% management fee and estimated other expenses of 0.02%; costs embedded in swap transactions are additional indirect expenses. As of September 9, 2026, WYFL reported net assets of approximately $2.77 million, 590,000 shares outstanding and a portfolio primarily comprising WhiteFiber-referenced swap positions, a government obligations fund and cash or other balances. The principal recent development is the fund’s June 2026 inception and expansion of Defiance ETFs’ Daily Target 2X Long single-stock leveraged ETF platform into WhiteFiber-linked exposure. In 2026, the fund introduced a new leveraged trading vehicle tied to WhiteFiber’s AI-focused HPC data-center and GPU-cloud business, using a derivatives-based strategy and daily portfolio rebalancing to target 200% of WYFI’s one-day price movement. WhiteFiber, the fund’s underlying issuer, was formerly known as Celer, Inc., changed its name in October 2024, completed its initial public offering in August 2025 at $17.00 per share, and remains a majority-owned subsidiary of Bit Digital, Inc.
